Scenario: A successful, privately-held company had built a solid business platform to manage logistical and informational needs for widely distributed organizations within the federal government. The owners had built the company into a robust, fast growing organization that needed additional investment to continue its growth. They were looking to acquire additional capital to achieve two key objectives: (1) to broaden the business base and (2) to create a liquidity event for early-stage shareholders.
Engagement:An HBA Advisor was engaged to create a strategic plan, build an investor presentation, locate and recommend an equity investor and complete the transaction. The project scope also included presenting the plan to various investor groups, as well as negotiating the terms of the purchase agreement.
Results:Within 5 months of the project start, the full assignment was completed. The company had completed two separate equity rounds, one with a strategic partner and one with a multi-billion dollar private equity firm. The total money raised on the sale of equity was $87 million for over 50% of the company. The shareholders and management team collectively received over $50 million in liquidity in the form of cash for their pro-rata shares.
